Terms of Service
These Terms of Service ("Terms") govern your use of the services provided by medispas.ai ("medispas.ai", "we", "us"). By starting a free trial, subscribing, or otherwise using our services, you ("the Client") agree to these Terms.
1. The service
medispas.ai provides done-for-you social media services for medical spas, including research, content writing, short-form video, scheduling, publishing, and engagement, produced in the Client's brand voice. The specific deliverables depend on the Client's chosen plan.
2. Free trial and billing
- New Clients may receive a one-week (7-day) free trial. A payment method is collected at sign-up but is not charged during the trial.
- Unless cancelled before the trial ends, the subscription begins automatically and the payment method is charged the then-current monthly fee for the selected plan, in Canadian dollars, recurring monthly until cancelled.
- You may cancel at any time; cancellation stops future charges and takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
- Payments are processed by Stripe; we do not store full card details.
3. Compliance review — important
medispas.ai reviews content against known medical-advertising rules and good-practice guidelines as part of its service. This review is a good-faith, best-effort process. It is not legal advice, and it is not a guarantee of compliance with, or approval by, any regulator, college, board, platform, or law. Advertising rules change and are applied at the discretion of regulators. The Client remains solely responsible for ensuring that any content it approves and publishes complies with all laws and professional obligations applicable to its practice, and is encouraged to obtain its own legal and regulatory advice.
4. Client responsibilities
- Provide accurate, current information about the practice, its services, and its credentials.
- Review and approve all content before it is published. Nothing is published without the Client's approval under plans that include publishing, and the Client is responsible for the final decision to publish.
- Hold, and be able to produce, all necessary rights and documented patient consents for any materials the Client provides or that are featured in content — including before-and-after imagery, photographs or video of patients, and patient testimonials. By submitting such materials, and again by approving a post for publication, the Client confirms it has obtained the required consent.
- Maintain the Client's own professional licensing and standing with its college, board, or regulator.
5. Content and intellectual property
The Client retains ownership of its own brand assets and of the final published content produced for it. The Client grants medispas.ai a licence to use the Client's materials and brand information as needed to provide the service. medispas.ai retains ownership of its own methods, software, templates, and systems. medispas.ai may use aggregated and anonymized data to improve its services, in a manner that does not identify the Client.
6. Limitation of liability
To the maximum extent permitted by law, medispas.ai is not liable for any indirect, incidental, or consequential damages, or for any regulatory action, fine, complaint, or loss arising from content the Client reviewed, approved, or published. medispas.ai's total liability for any claim arising from the service is limited to the amount of fees the Client paid to medispas.ai in the three (3) months preceding the claim. The service is provided "as is" without warranties of any kind except those that cannot be excluded by law.
7. Indemnification
The Client agrees to indemnify and hold medispas.ai harmless from claims arising out of content the Client approved or published, the Client's use of materials for which it lacked rights or consents, or the Client's breach of these Terms.
8. Termination
Either party may terminate the relationship at any time. We may suspend or terminate service for non-payment, misuse, or breach of these Terms.
9. Changes
We may update these Terms from time to time. Material changes will be communicated to active Clients. Continued use after changes take effect constitutes acceptance.
10. Governing law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
